Frequently Asked Questions

What is a registered agent?

A registered agent is a person or business designated to receive legal documents, service of process, and official correspondence on behalf of your Nebraska business. The agent must have a physical street address in Nebraska and be available during normal business hours to accept documents.

Why does my Nebraska business need a registered agent?

Nebraska law generally expects every LLC and corporation to maintain a registered agent with a physical address in the state. Your registered agent ensures you receive important legal notices, tax documents, and communications from the Nebraska Secretary of State, helping you stay compliant and avoid missing critical deadlines.

Who can serve as a registered agent in Nebraska?

Individuals serving as registered agents generally need to be at least 18 years old and Nebraska residents. Business entities must be authorized to operate in the state. Importantly, the agent's business office must be identical to the registered office address—they need to match exactly.

Can I be my own registered agent in Nebraska?

Yes, you can appoint yourself as your registered agent if you meet Nebraska's requirements. However, this means your personal address appears on public records, and you need to be available at that address during normal business hours to accept legal documents and service of process.

What documents will I receive through my registered agent?

Your registered agent receives service of process, legal summons, tax notices, compliance reminders from the Nebraska Secretary of State, biennial report notifications, and other official correspondence directed to your business. We scan and forward all documents to you on the same day they arrive.

How do I change my registered agent in Nebraska?

You file a change of agent form with the Nebraska Secretary of State along with a $15 filing fee. Your new agent must meet state requirements: 18+ years old and a Nebraska resident for individuals, or authorized to operate in Nebraska for business entities. When you sign up with us, we handle all the paperwork and confirm when the state processes the change.

What is Nebraska's biennial report requirement?

Nebraska businesses file a biennial (every two years) report rather than an annual report. The report is due between January 1 and April 1 in odd-numbered years, based on when your business was formed. The filing fee is $13 online. We send reminders before your deadline to help you stay on track.

How much does your registered agent service cost?

We charge $99 per year with no hidden fees or monthly charges. This includes your registered office address in Lincoln, same-day document scanning and forwarding, compliance reminders, online portal access, and privacy protection. If you're changing from another agent, you'll also pay the state's $15 filing fee.

What's included in the $99 annual fee?

Everything you need: a physical registered office address in Nebraska, same-day scanning and forwarding of all documents, compliance alerts about your biennial report deadline, access to your secure online document portal, and privacy protection by using our address on public filings instead of yours.

How quickly do you forward documents?

We scan and forward documents the same day we receive them. You'll get an email notification with the scanned document, and it's also available in your online portal. If you need the physical original document mailed to you, just let us know and we'll arrange that.

What happens if I receive a lawsuit or legal papers?

We accept service of process on your behalf during normal business hours, scan the documents immediately, and forward them to you the same day. You're responsible for responding to legal matters according to the deadlines in the documents. We handle receipt and notification—not legal advice or representation.

Do you accept packages or general mail?

As your designated registered agent in Nebraska, we receive the legal and compliance documents that state law requires an agent to handle. That means service of process, subpoenas, Secretary of State correspondence, tax notices, annual report reminders, and court filings.

On occasion, general mail arrives at a registered agent address. We handle up to three such items per year — a courtesy for the unexpected.

We are not a mailbox or virtual office. Packages, Google Maps verification postcards, Amazon verification letters, and third-party verification mailings will not be accepted.

If your business needs ongoing general mail service, we provide a virtual mail add-on. Contact us to get started.
