What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Nebraska is a "foreign LLC" from Nebraska's perspective. The same applies to corporations and other entity types.

Nebraska Revised Statute § 21-155 keeps an out-of-state LLC from transacting business in Nebraska until it has qualified with the Secretary of State. Section 21-157 names ten activities that don't count on their own, like lawsuits, internal meetings, financial accounts, contractor sales, orders accepted out of state, a deal finished within thirty days, and interstate commerce. It also draws a firm line: an LLC holding Nebraska land or equipment that earns income is transacting business.

What a Nebraska Registered Agent Does for a Foreign Entity

The general process for registering an out-of-state entity in Nebraska:

1. Order an original certificate of existence. It must be the original from your home state; Nebraska refuses a certified copy of your organizing document as a substitute.

2. Designate a Nebraska registered agent. You can use a commercial registered agent service or appoint an individual who lives in Nebraska.

3. File the Application for Certificate of Authority ($110 online). Online, it's $100 plus $10 for the certificate, uploaded as a signed PDF through Corporate & Business Document eDelivery (a small online processing charge applies). On paper it's $110 plus $10. A new online filing system is due before the end of 2026. When your name can't be used in Nebraska, list a substitute name on the application.

4. File the biennial report in odd years. Between January 1 and April 1 of each odd-numbered year, starting the first odd year after you register: $25 online or $30 on paper. A foreign LLC whose authority is revoked can't be reinstated and must apply again from the start.
